Kia ora members,

We are writing to update you on an important legal change affecting our club. The Incorporated Societies Act 2022 has replaced the old 1908 legislation. To remain legally recognised, all existing societies in New Zealand must reregister by April 2026.

If we do not reregister, the club will formally cease to exist as a legal entity.

What is changing?The new Act modernises how societies are run. Key updates include:

  • Compliant Constitution: We must adopt a new constitution that meets specific legal requirements, such as clearer dispute resolution procedures.
  • Officer Duties: Committee members have codified duties to act in good faith and in the best interests of the club.
  • Consent: All members must now actively consent to being part of the society.

Proposed ConstitutionThe Committee has prepared a draft constitution to ensure we comply with these new rules. You can find the document attached for your review.

Invitation to AGM

All members are invited to attend our Annual General Meeting (AGM) to vote on the proposal to reregister and to adopt the new constitution. 

Your Feedback

Before we meet for the formal vote, we want to ensure all members have had the opportunity to review the proposed changes and ask questions.

  • Deadline: All feedback must be received by 5:00 pm, Friday 16 January 2026.
